Terms of Service
These Terms govern your access to and use of Asher Vault (the “Platform”), operated by Asher Capital Investment Fund (“Asher”). By accessing the Platform you agree to these Terms.
1. Eligibility & access
Access is by invitation only and is limited to accredited investors and authorized professional counterparties. Access is personal to you, non-transferable, and may be revoked at any time at Asher’s discretion.
2. Confidentiality
All materials on the Platform are strictly confidential and proprietary. You agree not to disclose, reproduce, distribute, screenshot, or forward any materials to any third party without Asher’s prior written consent. Each document is watermarked to your identity; any leak is traceable to you and may result in legal action.
3. No offer; no investment advice
Information on the Platform is for evaluation purposes only. It does not constitute an offer to sell or a solicitation of an offer to buy any security, nor investment, legal, tax or accounting advice. Any investment will be made only pursuant to definitive offering documents and applicable securities laws (including Regulation D where relevant). Past performance and projections are not guarantees of future results.
4. Acceptable use
- Do not attempt to bypass security, watermarking, or access controls.
- Do not download, scrape, or extract materials beyond what the Platform permits.
- Do not share your access credentials or secure links.
- Do not use the Platform for any unlawful purpose.
5. Electronic signatures
You agree that your electronic acceptance (including signing an NDA or accepting these Terms) is valid and binding under the U.S. ESIGN Act and the Uniform Electronic Transactions Act (UETA).
6. Intellectual property
All content, software and materials on the Platform are owned by Asher or its licensors and are protected by law. No license is granted except the limited right to view materials for evaluation.
7. Disclaimer & limitation of liability
The Platform is provided “as is.” To the maximum extent permitted by law, Asher disclaims all warranties and shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform.
8. Governing law & disputes
These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-laws principles. Any dispute shall be resolved in the state or federal courts located in New Jersey, unless the parties agree to binding arbitration.
9. Changes
We may update these Terms. Material changes will be communicated through the Platform. Continued use constitutes acceptance.
